1. Agreement to Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Evidensys Lda, a company registered in Portugal with offices at Rua do Campo de Futebol, 270 i, 2785-609 São Domingos de Rana, Portugal (“Company”, “we”, “our”, or “us”), trading as StayLocal.co, regarding your use of our digital guidebook platform service.
By accessing or using our service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our service.
These Terms are governed by Portuguese law and applicable European Union consumer protection regulations.
2. Description of Service
StayLocal.co provides a digital platform that enables hotel owners, property hosts, and vacation rental managers to create, customize, and share digital guidebooks for their guests. Our service includes:
- Guidebook creation and editing tools
- Property and content management features
- Sharing and distribution capabilities
- Guest-facing interface and access controls
- Customer support services
3. User Accounts and Eligibility
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts under Portuguese law to use our service.
3.2 Account Registration
You agree to provide accurate, complete, and current information during registration and to update such information to maintain its accuracy.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Acceptable Use
You agree not to use our service to:
- Violate any applicable laws, regulations, or third-party rights
- Upload or share content that is illegal, harmful, threatening, abusive, defamatory, or obscene
- Infringe on intellectual property rights of others
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems
- Use our service for commercial purposes other than intended
- Spam, harass, or solicit other users
- Impersonate any person or entity
5. Content and Intellectual Property
5.1 Your Content
You retain ownership of all content you create and upload to our platform. By using our service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, and display your content as necessary to provide our service.
5.2 Our Intellectual Property
Our platform, including its design, features, and underlying technology, is protected by intellectual property laws. You may not copy, modify, or distribute our platform without permission.
5.3 Copyright Compliance
We respect intellectual property rights and expect users to do the same. We will respond to valid copyright infringement notices in accordance with Portuguese and EU copyright law.
6. Payment Terms
6.1 Fees
StayLocal.co operates on a one-time payment model. You pay once for each property and retain access to the guidebook for that property for the lifetime of the service, subject to these Terms. All fees are stated on our pricing page and are inclusive of VAT (IVA) where applicable.
6.2 Payment Processing
Payments are processed by third-party payment providers (Stripe). You agree to their terms and conditions in addition to these Terms.
6.3 Refunds and Right of Withdrawal
If you are a consumer based in the European Union, you have the right to withdraw from this contract within 14 days of purchase under EU consumer law. This right does not apply if you have already started using the service and have expressly agreed to begin immediate access. Outside of statutory withdrawal rights, fees paid are non-refundable.
6.4 Late or Failed Payment
Failure to complete payment may result in suspension of access to features that require payment.
7. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which complies with the EU General Data Protection Regulation (GDPR) and the Portuguese Data Protection Act (Law no. 58/2019).
8. Service Availability and Modifications
8.1 Service Availability
We strive to maintain high service availability but cannot guarantee uninterrupted access. We may perform maintenance that temporarily affects service availability.
8.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our service with reasonable notice, except where immediate action is required for security or legal reasons.
9. Termination
9.1 Termination by You
You may terminate your account at any time by contacting us or using account settings. Termination does not entitle you to a refund of fees already paid, except as required by EU consumer law.
9.2 Termination by Us
We may suspend or terminate your account if you breach these Terms, fail to pay fees, or for other legitimate business reasons with reasonable notice where possible.
9.3 Effect of Termination
Upon termination, your right to use our service ceases immediately. We may retain your data for a reasonable period or as required by law.
10. Disclaimers and Limitation of Liability
10.1 Consumer Rights
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under Portuguese law or EU consumer protection law that cannot be excluded, restricted, or modified.
10.2 Service Disclaimer
Subject to applicable consumer law, our service is provided “as is” without warranties of any kind, whether express or implied.
10.3 Limitation of Liability
To the maximum extent permitted by law, our liability for any breach of these Terms or negligence is limited to, at our option, re-supplying the service or refunding the fees paid for the service in question.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our service, violation of these Terms, or infringement of third-party rights.
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of Portugal. Any disputes will be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, without prejudice to mandatory consumer rights that allow you to bring proceedings in the courts of your country of residence.
12.2 Dispute Resolution Process
Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations and, if necessary, mediation. EU consumers may also use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding our service.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
13.3 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
13.4 Updates to Terms
We may update these Terms from time to time. We will notify you of material changes and your continued use constitutes acceptance of the updated Terms.
